GENERAL CONDITIONS OF SALE LEANPRODUCTS SRL

GENERAL NOTES: All supplies and services offered by LeanProducts Srl are subject to acceptance of the general conditions of sale and delivery listed below. No waiver of the requirements listed below will be valid unless our prior statement. The technical specifications of our products listed on our official documents, are indicative: LeanProducts Srl reserves the right to make any necessary changes without notice to improve performance.

The seller also offers buyers the opportunity to purchase items in particular execution as shown in the catalog or made at the express request, indication, and / or customer’s design. With regard to such goods parties agree each time the price and mode of implementation and delivery. For all matters not expressly regulated by the parties the contract will be governed by these general conditions of sale.

OFFERS, PRICES AND PRICE LISTS: All prices listed in our offers and price lists refer to the supply of components or materials, excluding work for assembly, installation, testing or maintenance, unless otherwise agreed in writing. Some items will enjoy a discount depending on quantity. Our offers are valid for a maximum of 30 days, unless otherwise agreed. Our prices are in Euro, excluding VAT and are for goods delivered Ex works with standard packaging for transport. Special packaging must be explicitly requested and are not included in these prices. LeanProducts Srl reserves the right to change prices at its own discretion also without prior communication.

ORDERS: The purchase order is binding for the seller only after receipt of order confirmation, signed by the purchaser. LeanProducts Srl is committed to comply with the conditions set out in the presence of written acceptance confirmed. Orders sent to the sales staff of LeanProducts Srl will be accepted only after validation of the direction of LeanProducts Srl after receipt of order confirmation.

DELIVERY: The delivery terms indicated by us, although respected as far as possible, may be modified due to force majeure or other reasons; these changes do not justify the cancellation of the order nor do they justify the request for compensation by the customer.
LeanProducts srl does not accept the application of penalties or sanctions for delays with respect to the agreed delivery times. LeanProducts srl considers partial deliveries of the goods on order to be authorised, unless otherwise agreed by the customer.

PAYMENTS: Invoices issued by LeanProducts Srl are payable in the manner prescribed and accepted the order. In case of undue delay in payment, LeanProducts Srl reserves the right to charge a rate of interest on the amount due (DL 231/2002 Article 5, paragraph 2). The seller expressly reserves the right to request an advance order for first delivery or customized products. For these supplies, the delivery time starts from receipt of documents of payment.

MINIMUM BILLING: The minimum income for every single order is Euro 100.00 (one hundred euros). Lower amounts must be authorized by the Chief sales manager of LeanProducts Srl. 

RETENTION OF TITLE: Ownership of the material delivered is valid until full payment of the invoice.

DELIVERY: The delivery of the goods is Ex works. The material travels at the risk of the customer, unless otherwise agreed in writing. Upon arrival at the destination of the goods the buyer’s responsibility to verify the goods and note any damage on the delivery receipt and / or other damage detected by submitting the complaint to the carrier immediately and a copy to LeanProducts srl.

COMPLAINTS: Complaints about the delivery of LeanProducts Srl products, must be received in writing no later than 8 days from the receipt of the goods, clearly indicating the number of the shipping document of the challenged provision, on which CMR will be summarized in the amount and description of the damage.

WARRANTY: All our products have a manufacturer’s warranty covering defects in materials or manufacturing. The warranty is limited to the free replacement Ex works of the defective component, if installed in strict adherence to what indicated by the manufacturer. The replacement guarantee applies only in cases where the product or the component is returned to the place of LeanProducts Srl without charge for shipping or packing for LeanProducts Srl. LeanProducts Srl provides the pieces in place for free with delivery Ex works.

PERSONAL DATA: Personal data submitted by the purchaser and its references will be processed solely in connection with the performance of the obligations instrumental to the contract of sale. The provision of such personal information is optional, but any refusal will prevent LeanProducts Srl to fulfill the obligations associated with the contract of sale. The persons who may become aware of personal data and the buyer’s contact will be the data processor, domiciled at this company and third parties in charge of the commercial, administrative and logistics related to contracts such as the carrier. They also have access to personal data only for administrative, accounting and coordination LeanProducts Srl based in Pordenone (Italy). The list of people in charge of data in LeanProducts Srl can be asked to LeanProducts srl, Via Bassani, 8 Pordenone. Interested parties may at any time object to the processing of personal data, respectively, or to obtain the cancellation, modification, integration and transformation into an anonymous form of the same. At the end of the processing the personal data concerned will be kept by the owner for historical / statistical internal use and for sending new catalogs for free, with explicit exclusion of third parties. 

JURISDICTION: The jurisdiction for the resolution of disputes is to Pordenone (Italy). The illustrations, pictures, colors, prices and specifications of the items in catalog are approximate and may vary slightly.
